Helen Jiang’s practice focuses on M&A, international trade, foreign direct investment, overseas capital markets and dispute resolution, and she also provides all-encompassing wealth planning services for many eminent individuals and families.


Ms. Jiang has advised many investors in connection with their domestic and cross-border transactions including mergers and acquisition investments, foreign direct investment, overseas capital markets transactions, joint ventures and commercial projects involving PRC assets or entities across a wide spectrum of sectors, including but not limited to real estate, aviation, medical and life sciences, energy, logistics, infrastructure, TMT, semiconductor, finance, trade, manufacturing, education, service, etc.  


In addition to represent many multinational companies in their corporate legal matters, esp. regarding general corporate affairs, employee equity incentive plans, market authorization, distribution, sales model and structural adjustment to adapt to the latest Chinese laws and regulations, Ms. Jiang also has significant experience in dealing with disputes in shareholders' equity, corporate governance, struggle for control power and commercial transaction cases.

Mergers & Acquisitions / FDI:

  • Advised several German automobile companies to set up subsidiaries in China and reach various investment agreements with the local government and local investors.
  • Advised a reputable German horticultural company to establish a joint venture in China with Chinese investors on the cultivation and sales of new plant varieties.
  • Advised a German manufacturing company on the spin-off and reorganization of its real properties, equipment and other substantial assets in Kunshan, Jiangsu, PRC.
  • Advised an European manufacturing company to acquire certain target companies belonging to the industrial chain and sign the IP licensing agreement and other related party transaction agreements with the target companies.
  • Advised Arm Technology (China) Co., Ltd. in its joint venture control dispute among shareholders, assisted Arm China in maintaining its control power, continuing semiconductor technology development, and engaging various local and cross-border investments during the ongoing acquisition between Arm Limited, Arm China's major shareholder and NVIDIA.
  • Advised a global fresh food giant for entering the Chinese market for the first time, and provided legal services in its cooperation with Syngenta Group in terms of the investment structure and IP licensing.
  • Advised a Chinese manufacturing company in its share acquisition of a Polish century-old brand manufacturing enterprise.
  • Advised a leading real estate company in its joint venture transaction with an education company listed on the main board of the stock exchange of Hong Kong to carry out business in the education industry (including land purchase, school operation, construction of school facilities, introduction of brands, teachers and strategic investors).
  • Advised an intelligent medical device company in its share acquisition with China traditional Chinese medicine Holding Co., Ltd., a Hong Kong main board listed company.
  • Advised an aviation asset investment company on its proposed merger and acquisition of an aviation operation company in Virginia, US.
  • Advised Tibet Airlines Company on a merger and acquisition project establishing and operating an airline company with investors in Nepal.
  • Advised Palm Spring Holdings Limited in its cooperation, construction and operation of hotel and high-end residential service apartment project with Singapore Fairmont Hotel.

  • Advised the joint sponsors on the spin-off and IPO listing and the Reg S offering of Poly Property Development Co. Ltd. on the Main Board of The Hong Kong Stock Exchange.
  • Advised a Chinese leading integrated marketing company in connection with the IPO listing and the Reg S offering on the Main Board of The Hong Kong Stock Exchange.
  • Advised a listed company on the Main Board of The Hong Kong Stock Exchange, on its issuance of the US$360,000,000 Senior Notes in compliance with Reg S.
  • Advised a Hong Kong financial company, as the Lender, in a refinancing facility transaction to a Hong Kong listed company.
  • Advised BRC, a real estate company, on an aircraft purchasing with Bombardier and its corresponding financing with ICBC Leasing.

Corporate Governance & Dispute Resolution:·

  • Advised Arm Technology (China) Co., Ltd. in the disputes against its certain shareholders in relation to the company power control, which involves complicated commercial and investment disputes in multiple countries and jurisdictions (including China, US, UK, Cayman and Hong Kong).
  • Advised a well-known investment fund management company in relation to its equity investment and equity entrustment disputes.
  • Advised a Chinese enterprise in handling the disputes related to the joint venture management matters and investment exit with other foreign investors.
  • Advised a well-known German laser technology company in the disputes over several trademark infringements and the license agreement with certain investors in China.
  • Advised of a Hong Kong investment company in its disputes against other Chinese investors in relation to the equity transfer and Valuation Adjustment matters.
