Dr. Haixiao Hellen Zhang has more than 20 years of experience representing FIEs in dispute resolution, regulatory compliance, intellectual properties and M&A in China and abroad. Prior to joining AnJie Law Firm as senior partner in February 2019, she worked at Zhong Lun Law Firm as equity partner, Weil Gotshal & Manges LLP, Jun He and other leading international and PRC firms as partner and senior associate for 22 years. She was also the main PRC government legal counsel in leading IP negotiations for Shanghai Disneyland Project. Dr. Zhang has consistently ranked in the first tier of “Leading Individual Lawyer” in regulatory compliance by LEGALBAND China Guide, from 2015 to 2019.


Dr. Zhang acted as main legal counsel to Shanghai Pudong Government and vice-chair of women business lawyers committee of IPBA, and is a committee member of Administrative Review of Shanghai Pudong Government for Free Trade Zone Related Cases. Dr. Zhang is also one of the first legal counsels to Shanghai Counterpart of Ministry of Commerce, and one of the key advisors to the local legislation for the draft Implementation Rules of Foreign Invested Enterprise Law and Shanghai Foreign Investment Regulations. She is vice president of Shanghai Overseas Returned Scholars Association and Chair-Person of University of Pennsylvania Alumni Club of SORSA.


Representative Cases

Dispute Resolution and Regulatory Compliance 

• Provided PRC legal services and State Secret Review for Syngenta on its class actions in the United States relating to its China operation

• Advised Wal-mart on various governmental and regulatory compliance issues since 2009; Represented Wal-mart in the administrative investigation cases and also the administrative complaint procedures regarding trademark infringement in China nationwide; Represented Wal-mart in the legal proceeding of Supreme People’s court and Shan Dong Higher People’s Court; advised Wal-mart in an administrative review case before NDRC under the PRC pricing law

• Represented many well-known multinational companies in pharmaceutical and medical device, food and baby formula and manufacturing industries, including Abbott, Apextool, BP, Dell, Hershey, Nestle, Signode in AIC investigations or judicial procedures of anti-unfair competition in China

• Advised on foreign investment, foreign exchange control and tax implication issues for Merrill Lynch

• Advised SPD Silicon Valley Bank on financial regulatory compliance issues and data protection and privacy under EU laws

• Advised Christie’s on PRC Anti-money laundering law and online business model analysis

• Advised on PRC nuclear liability and expert control for the PRC nuclear power investment project of Rolls Royce

• Represented Alliance Boots’ PRC joint venture to handle compliance auditing for its major medicine and medical instrument suppliers undergone the investigation by US Department of Justice for anti-corruption issues


Intellectual Property

• Acted as leading IP legal counsel and negotiation lawyer for Shanghai Disney Resort Project

• Advised Shen Di Group on the license of the Lion King (Musical) at Shanghai Disney Resort Theme Park

• Advised Village Roadshow Entertainment Group (“VREG”), one of the largest film production Co., in respect of Sino-foreign film production and distribution in China

• Advised on the IP infringement case for Beats Electronics LLC and a world-famous musical artist, Andre Young ("Dr. Dre")

• Advised Great Wolf Resorts Holding, Inc. on its investment of water park and hotel in China

• Advised Federal Mogul on a trademark infringement and unfair competition case

• Advised Nike Sport Products Co., Ltd. in a dispute over several counterfeiting stores in China

• Advised Volvo Construction Equipment on a cross-border acquisition of technology

• Advised Caterpillar Inc. on IP strategies for a joint venture project

• Advised STMicoelectronics, as the main counsel on technology and software licensing matters involving several million USD, and on a utility model invalidation and special restoration case

• Advised Invista S.a.r.l. on PRC legal proceedings and remedies for a patent dispute case


FDI, Merger and Acquisition

• Advised Green Dot in the establishment of wholly-foreign-owned computer software and technology company and capital increasing

• Retained by IDEO to set up its Shanghai WFOE and provided legal service including reviewing designed contract

• Advised Keolis SA on its investment in the joint venture of the Tianhe Airport Integrated Transportation Junction of Wuhan

• Provided legal service to SPD Silicon Valley Bank on the establishment of its subsidiary focusing on “Venture Loan” Business

• Provided legal consulting service to Hershey with respect to enterprise qualification of import and export, and inspection & quarantine of imported food; provided legal service to Hershey regarding return of imported raw materials and national standards on food safety; provided legal service to Hershey on discharge permit, air pollutant release standards and re-construction of coal boiler project; and advised Hershey to respond to the instruction on special equipment safety supervision and emergency responses against heavy pollution weather of local government agencies

• Acted as the key counsel for LG in the negotiation of import for high-tech television production lines to Shanghai joint venture company and technology transfer involving millions of US Dollars

• Advised on the establishment of an infrastructure joint venture involving several billion US dollars in Shanghai Chemical Industry Zone for Shanghai Power Company and other energy companies; advised Shanghai Power Company on an outbound investment project of Australian brown coal

• Advised on the nuclear equipment bidding negotiation at Da Ya Gulf Nuclear Power Station for US General Atomics and Beijing nuclear research institution
